By creating an account, as well as by using LOCO add-ons, extensions or links within third-party services and platforms (such as, but not limited to: Shopify, Shoptet, Upgates, Woocommerce, Prestashop, Magento, Creative sites, Fastcentrik) or by using the services in any other way, the user agrees to the following terms and conditions of LOCO global s.r.o., IČO 19170998 , with registered office at Poštovní 244, 739 61 Třinec, registered in the Commercial Register maintained by the Regional Court in Ostrava under file No. C 97496 (hereinafter referred to as the "Provider"), concerning the use of the LOCO application. The Terms and Conditions are binding for the User and the Provider at the moment of creating an account in the LOCO Application and at the moment of starting any use of the LOCO Application or other services of the Provider.
1. Description of the LOCO software service
1.1 LOCO is a web service offered through the web address https://loco-app.expan.do/ that allows users to upload, manage and translate texts for e-shop products (hereinafter referred to as the "Application"). A detailed description of the service is available at: https://loco.expan.do/
2.Definition of basic terms
2.1. The contract for the provision of the LOCO software service (Application) is concluded between the Provider and the User. The contract means the contract concluded between the Provider and the User (hereinafter referred to as the "Contract"), the subject of which is the granting of a licence to use the web or mobile version of the Application.
2.2. 2.5 below), who uses the Service in the course of his/her business activity.

2.4. The grant of a license is a non-exclusive, non-territorial, time-limited license for the duration of the Agreement to use the Application under the terms and conditions set out in these Terms and Conditions.
2.5. The offer to conclude the Agreement is the registration of the User, which is realized by creating an account (by filling in and sending the registration form with the acceptance of the Terms and Conditions or accepting an invitation to another account).
2.6. The acceptance of the offer is the display of the confirmation screen after registration or the email confirmation of registration by the Provider. At the moment of acceptance of the offer, the Contract is concluded and will be governed by these Terms and Conditions. The Contract shall be concluded for an indefinite period of time.
2.7. Account is the User's account in the Application identified by a unique identifier (account name/agenda). The Account constitutes a non-public part of the Application.
2.8. A change of tariff by the User within the User's account shall be considered a proposal to amend the Contract. Confirmation of the tariff change by the Provider shall constitute acceptance of such proposal.
If the User does not confirm the email address according to the instructions contained in the sent email (typically by clicking on the confirmation link) within 14 days of registration, the Provider is entitled to unilaterally cancel the account.
3.Rights and Obligations of the User
3.1. The User is obliged to truthfully provide his/her contact details during registration for the purpose of invoicing the services provided and communication with the Provider. The User agrees to send invoices to the registration e-mail and is obliged to keep his/her contact details up to date. Changes can be made via the platform's user interface or in writing to the email address loco@expan.do.
3.2. By registering for the Application, the User agrees to receive commercial communications from the Provider. This consent is revocable at any time, whether for a single type of communication or for all commercial communications.
3.3. The User is obliged to protect the provided access names and passwords to the services established in the Application and the server software from misuse by a third party. The Provider shall not be liable for any misuse.
3.4. The property rights to the Application under the Copyright Act and under international copyright agreements concluded by the Czech Republic belong to the Provider. The Agreement concluded between the Provider and the User does not grant the User any rights in connection with the Provider's trademarks or other intellectual property.
3.5.
3.6. The User is fully responsible for the data and content processed by the Application and undertakes to use the Application provided in accordance with the legal regulations of the Czech Republic.
3.7. The User undertakes to pay the agreed price for the provided services in due and timely manner according to the valid price list available on the Provider's website (see Article 5 below).
3.8.
3.9. The User confirms that he/she holds the appropriate copyrights and licenses to the products that the Provider translates for him/her, or promotes and sells on sales accounts. He also declares that he has the authorization to sell these products in all countries where the products are sold, and that the sale of the products does not violate any claims in terms of intellectual property rights or other laws in the Czech Republic and the countries where the products are sold. The User confirms that all laws and regulations of the countries to which the Products are sold (in particular, regulations relating to consumer protection or the authorization of individual countries to sell the types of Products) are complied with.
3.10. Should a situation arise in which a third party asserts any claims against the Provider arising from intellectual property rights in the objects of sale or from infringement of laws and regulations, the User undertakes to assume and settle such claims himself.
4.Rights and obligations of the Provider
4.1 The Provider is obliged to ensure the continuous operation of the Application.
4.2 The Provider's obligation to ensure the continuous operation of the Application does not include any interruption of the operation of the Application due to unavoidable objective reasons (e.g. power failure, failure of the Internet connection point, etc.
4.3. The Provider shall not be liable for any damage caused to the User or other persons by the use of the Application.
4.4. This includes, in particular, force majeure, such as natural disasters and strikes, or other obstacles which occurred independently of the Provider's will and which could not have been reasonably foreseen by the Provider at the time of the obligation. These obstacles are also considered to be technical facts, business conditions or actions of the Marketplace or e-shop platform that the Provider cannot influence.
4.5. Therefore, the Provider shall not be liable in any way for any damages incurred by the User in connection with any conduct or action of any Marketplace.
4.6. The total compensation for damages caused by the Provider in connection with the Contract shall be reimbursed by the Provider only up to the amount of the price of the paid services in the total amount corresponding to one monthly payment for the price of the Application. The average of the payments of the last 3 months is considered as a monthly payment.
4.7. The Provider is not responsible for the compliance of the details of the documents created with the valid and effective legal standards and it is only the User's responsibility to make sure that they are complete and error-free.
4. 7.
5. Fees and Charges
5.1. The price for the provision of the Application is set according to the agreed tariff or the current tariff price list published at https://loco.expan.do/cenik. In cases where the price is set for one month, each calendar month, even if started or unfinished, is calculated. In the event that a minimum duration is indicated for a tariff on the Website or in the Terms and Conditions, the User, by choosing such tariff, undertakes to pay the periodic charges corresponding to the entire minimum duration, regardless of its use. In the event that, for whatever reason, the duration of the selected tariff with the minimum duration is not observed, the Provider shall be entitled to charge the Client for the services using the rates of the Medium tariff, regardless of their price in the selected tariff whose minimum duration was not observed.
5.2. The regular billing period is 1 calendar month. If the price is determined on a one-off basis, the provider may issue a one-off invoice, even if payable in advance of the provision of the one-off service. Similarly, it may add the one-off price to the invoice for the Periodic Billing Period.
5.3. The price is due within 7 days of the invoice being issued.
5.4 If the User does not agree with the amount of the price set out in the invoice or payment request, the User shall object no later than the due date, otherwise the price set out shall be regarded as agreed by the User. In the event of objections, the Provider shall justify the determined price with a detailed billing within 14 days of receipt of the objections or shall meet the objections.
5.5. Any change in the length of the billing period is possible upon agreement between the Provider and the User.
5.6.
If the services provided to the User include "Implementation", the price for the provision of the Application will be charged only from the date when the "Implementation" is completed. This does not apply if the User is in delay and does not provide the Provider with assistance in the "Implementation" for more than 14 days.
5.8. If it has been agreed between the Provider and the User that the Provider is entitled to remuneration in the case of translations performed, duplicate translations are not included.
5.9. The Provider has the right to block the account of the User who is in default of payment for the use of the Application for more than 10 working days, until the payment is made.
5.10. If the account is blocked for more than 1 month, the Provider has the right to interrupt automatic processes, e.g. issuing new products, downloading orders, cancelling exports and API connections. In case of delay in payment of the obligations due under the Agreement, the Parties agree on a contractual penalty of 0.5% of the amount due, for each day of delay, even if only for the first day.
5.11. In the event that the User fails to timely pay the Provider the full amount of the Contract price by the due date of the invoice, the Provider shall be entitled to suspend further provision of services until the debt is paid in full, and shall further be entitled to withhold products returned by the User's customers, which shall be in the Provider's possession for the duration of the unpaid debt.
5.12.
6. Change of the Terms and Conditions and change of the price list
6.1. The Provider has the right to change these Terms and Conditions according to the provisions of § 1752 of Act No. 89/2012 Coll., the Civil Code, for example to bring them into compliance with legal regulations or to increase the legal certainty of the parties to the Contract. The User agrees that the nature of the obligation implies a reasonable need to change these terms and conditions in the future. The Provider shall notify the User of any change to the Terms and Conditions on the website https://loco.expan.do/ and to the email address provided by the User during registration, with at least 14 days' notice before the changes take effect.
6.2. If the User does not agree with the change to the Terms and Conditions, the User has the right to terminate the Agreement with 14 days' notice by cancelling his/her account. The Parties declare that the period of 14 days is sufficient to possibly procure an alternative service.
6.3. The Provider is entitled, after prior notice to the User, to unilaterally change the prices of the services offered, in particular due to the introduction of new features or inflation, by a maximum of 10% per 12 consecutive calendar months. If the percentage limit for price increases under the previous sentence is reached, further increases under this paragraph may be made no earlier than 12 months later. Article 6.2 above shall apply mutatis mutandis to changes in the prices of the services offered pursuant to this paragraph.
7.Termination of the Contract
7.1 The User has the right to terminate the Contract at any time with notice by cancelling his/her account, unless his/her account is blocked due to a breach of one of the Terms and Conditions.
7.2 The Provider has the right to terminate the Contract at any time with notice by cancelling the User's account.
7.3 The notice period lasts until the end of the Regular Billing Period. All User's data will be deleted after the expiry of the notice period.
7.4. The User shall have the right to cancel the Agreement if the Provider is in default in the provision of services under the Agreement for more than 30 days after such notice, despite written notice.
In such a case, the Provider is obliged to refund to the User a pro rata part of the price for the period during which the services under the Contract were not provided.
7.5. The Provider shall have the right to terminate the Agreement without notice by cancelling the User's account if the User violates the terms and conditions of the Agreement, intentionally damages the Application, misuses the Provider's logo or trademarks, commits other illegal dissemination of the content of the Website and the Web or mobile Application, attempts to circumvent tariff restrictions or otherwise violates legal regulations.
7.7. The Provider has the right to terminate the Agreement without notice by cancelling the User's account if the User has not logged into this account for more than 6 months or is in default of payment for the use of the Application for more than 1 month. Prior to any cancellation, the Provider shall notify the User by e-mail, which the User entered when registering the account, with at least one week's notice.
7.8. In the event of termination without notice, the Provider shall not be obliged to return to the User the deposit paid for the price of the Application.
7.9.
8.Protection of Confidential Information
8.1 Any information that one Party learns about or provides to the other Party shall be considered confidential unless such information is publicly available. The Provider undertakes to use such information only for the purpose of providing services under the Contract and the User undertakes to use such information only for the purpose of using the Application and to maintain the confidentiality obligation even after the termination of the provision of services, which they are obliged to ensure with their employees and, where applicable, business partners that they use in connection with the Contract.
8.2. The User undertakes not to disclose the Provider's documents, procedures and methodology that the User encounters in connection with the Contract to any other person without the Provider's prior consent. This obligation shall continue to apply after termination of the Contract.
9.Personal Data Protection
9.1 The processing of personal data is carried out in accordance with the applicable law of the Czech Republic, in particular the Personal Data Protection Act, the EU General Data Protection Regulation ("GDPR") and other legal regulations. In this relationship, the Provider acts as the processor and the User as the controller of personal data.
9.2. The provisions regarding the processing of personal data shall be effective for the duration of this Cooperation Agreement or until the provision of services under this Agreement is terminated, whichever is later.
9.3. In the event that the Agreement or the processing of personal data is terminated by either party, the Provider shall promptly destroy the personal data and copies thereof provided to it under the Agreement, unless otherwise provided by law. The Provider is also obliged to destroy the personal data if the User instructs the Provider to do so, or the Provider is obliged to transfer the personal data to the User and destroy the copies thereof.
9.4. The performance of the Agreement includes the processing of information about the User's customers and potential customers.
9.5. The Provider will process the personal data of the following data subjects:
9.5.1. The user's customers and potential customers;
9.5.2.
9.6. As a processor, the Provider will be entitled to process the following personal data of data subjects for the User:
9.6. 9.6.1. identification, contact and similar data of the customer (name, surname, address, telephone, purchase history, IP addresses, cookies); in the case of an entrepreneur, the company name, registration number and registered office;
9.6.2. Identification and contact details of the user's employees and persons in a similar position, in particular access details to the domain on which the e-shop is operated and to the e-mail box registered to the domain;
9.6.3. information required for identification pursuant to Act No. 253/2008 Coll., on certain measures against the legalization of the proceeds of crime and the financing of terrorism;
9.6.4. další osobní údaje, které uživatel při používání Aplikace poskytne.
9.7. Poskytovatel se v souvislosti se zpracováním osobních údajů zavazuje, že:
9.7.1. bude zpracovávat osobní údaje pouze na základě doložených pokynů uživatele (a to i v otázkách předání osobních údajů do třetí země nebo jejich předání mezinárodní organizaci), přičemž tyto pokyny mohou vyplývat buď ze Smlouvy, nebo mohou být Poskytovateli dány přímo pro konkrétní případ;
9.7.2. zajistí, aby všechny osoby oprávněné zpracovávat osobní údaje byly zavázány k mlčenlivosti nebo aby se na ně vztahovala povinnost mlčenlivosti upravená v zákonech;
9.7.3. přijme opatření požadovaná podle článku 32 GDPR, tj. osobní údaje bude uchovávat v bezpečí;
9.7.4. bude se ohlížet na povahu zpracování, bude uživateli nápomocen prostřednictvím vhodných technických a organizačních opatření, pokud je to možné, pro splnění povinnosti uživatele reagovat na žádosti o výkon práv subjektu údajů dle GDPR;
9.7.5. bude uživateli napomáhat při zajišťování zabezpečení osobních údajů podle GDPR (konkrétně čl. 32 až 36 GDPR);
9.7.6. v souladu s rozhodnutím uživatele všechny osobní údaje buď vymaže, nebo je uživateli vrátí po ukončení poskytování služeb spojených se zpracováním a vymaže existující kopie;
9.7.7. poskytne uživateli všechny informace potřebné k tomu, aby mohl doložit plnění povinností podle těchto obchodních podmínek a GDPR, umožní audity, včetně inspekcí, prováděné uživatelem nebo jiným auditorem, kterého uživatel pověřil, a k těmto auditům přispěje;9.7.8. ohlásí uživateli bez zbytečného odkladu jakékoliv porušení zabezpečení osobních údajů.
9.8. Poskytovatel se zavazuje přijmout technická, organizační a jiná opatření, která zamezí neoprávněnému nebo nahodilému přístupu k osobním údajům, jejich změně, zničení, ztrátě či jinému neoprávněnému nakládání s nimi. Poskytovatel zejména přijal vnitřní organizační opatření v podobě mj. interních předpisů, závazků mlčenlivosti, omezených přístupů a zabezpečených prostor a dále technická opatření v podobě zabezpečených připojení a přístupů k osobním údajům, přičemž veškerá opatření jsou pravidelně hodnocena a posuzována z hlediska zajištění bezpečnosti zpracování.
9.9. Uživatel uděluje obecné povolení se zapojením dalších zpracovatelů osobních údajů. Poskytovatel se zavazuje, že v případě zapojení dalšího zpracovatele dodrží podmínky pro zapojení dalšího zpracovatele podle čl. 28 odst. 2 a 4 GDPR a těchto obchodních podmínek.
9.10. V případě zapojení dalších zpracovatelů bude Poskytovatel uživatele informovat o veškerých zamýšlených změnách týkajících se dalších zpracovatelů a poskytne uživateli lhůtu 10 pracovních dní, aby sdělil Poskytovateli námitky, resp. nesouhlas se zapojením dalších zpracovatelů. Pokud uživatel nesdělí námitky, resp. nesouhlas se zapojením dalšího zpracovatele, je Poskytovatel oprávněn tohoto dalšího zpracovatele zapojit.
9.11. Nad rámec obecného souhlasu tímto uživatel také souhlasí se zapojením těchto dalších zpracovatelů:
9.11.1. fyzické osoby, které jsou ve smluvním vztahu s Poskytovatelem a splňují podmínky pro zapojení dalšího zpracovatele dané GDPR a právními předpisy;
9.11.2. společnost ZONER software, a.s., IČO 494 37 381, se sídlem Nové sady 18, 602 00 Brno;
9.11.3. společnost skupiny Google, zejména společnosti Google Commerce Limited, se sídlem 70 Sir John Rogerson’s Quay, 2 Dublin, Ireland a společnosti Google Inc., se sídlem 1600 Amphitheatre Parkway, Mountain View, CA 94043, USA, jejichž produkty jsou nebo mohou být užívány k plnění ujednání;
9.11.4. společností Amazon Web Services EMEA Sàrl. 38 Avenue John F. Kennedy L-1855 Luxembourg;
9.11.5. společností salesforce.com, inc., 50 Fremont St, Suite 300, San Francisco, California 94105.
9.12. Smluvní strany se zavazují vzájemně spolupracovat na na bezpečném předávání osobních údajů. Také se zavazují se vzájemně informovat o všem podstatném týkajícím se těchto obchodních podmínek, zejména o:
9.12.1. jakýchkoliv okolnostech, které by mohly mít vliv na ochranu osobních údajů a nakládání s nimi, tj. zejména o jakékoliv poruše, výpadku, nefunkčnosti či jiném nedostatku opatření přijatých za účelem zajištění této ochrany, přičemž se zavazují v úzké spolupráci ihned po zjištění takové okolnosti učinit všechny kroky a opatření nezbytné k odstranění (resp. k zamezení pokračovaní) takového špatného stavu;
9.12.2. jakémkoliv auditu, prověrce nebo opatřeních prováděných (nebo přijatých) orgánem veřejné moci příslušným pro oblast ochrany osobních údajů.
10.Other arrangements
10.1. All services are provided only in electronic form.
10.2. Support for the use of the service provided is provided only in electronic form (e-mail communication, information on the website, etc.).
10.3. Sending and receiving of all documents related to the service provided, including invoicing, is done only in electronic form.
10.4. The contact email and form are included in the description of the service and on the website itself.
11. Applicable law
11.1. In the event of disputes arising from the Contract, as well as in the event of disputes concerning the validity or existence of the concluded Contract and these Terms and Conditions, the parties:
11.1.1. choose the law of the Czech Republic as the applicable law;
11.1.2. determine that the Czech courts have jurisdiction;
11.1.3.
12. Final Provisions
12.1. The Parties assume the risk of change of circumstances within the meaning of Section 1765 of the Civil Code.
